Step to Register A Business In Malaysia-Small Enterprise(Sole Proprietorship)

1.  If you in Kuala Lumpur then visit SSM (Suruhanjaya Syarikat Malaysia), Companies Commission of Malaysia  at The Mall, opposite PWTC in Kuala Lumpur.

The SSM office have shift their office from second floor to 16th floor. It is a good moves as you will not see any agent soliciting register new company services at 16th floor.

2. Take the Forms at the Counter

3. Fill Up all the details required. If you are not sure then look at the notice board as it got completed sample form on how to fill up.

4. Once the form is fill up completely then take a Queue number at the same counter. The officer will check whether the forms is complete before giving the queue number.

5. Wait for Your queue number and the waiting time is depend on the crowd on that day.

6. When your queue number is called, the officer will perform a name search to determine availability of your required company names.

7. Once you agreed on the company name then paid the charges.

FAQ

How to renew a Business Registration Certificate?


Pursuant to section 5A(1) of the Registration of Businesses Act 1956, an application to renew the registration of a business has to be made in the prescribed form and manner to the Registrar within 30 days before the date of expiry of the registration or the previous renewal.

Pursuant to Rule 5(1) of the Registration of Businesses Rules 1957, an application to renew the registration of a business has to be submitted using Form A1.

The applicant has to forward a completed Form A1 together with the prescribed fee as per Schedule 19 of the Registration of Businesses Rules 1957.

How to register a business?


Pursuant to section 5A(1) of the Registration of Businesses Act 1956, the person responsible for a business has to, not later than 30 days from the date of the commencement of the business, apply to the Registrar to register that business.

a. If the applicant is using his own name as per identity card as the business name:

  • there is no need to apply for approval of the business name.
  • the applicant has to fill in and complete Form A (Registration of a New Business).
  • the applicant has to append a copy of his identity card.
  • registration fee is RM30.00 only.

b. If the applicant is using a trade name as the business name:

  • the applicant has to submit an application for approval of the business name using Form PNA 42.
  • if the business name is approved, the applicant has to fill in and complete Form A (Registration of a New Business).
  • the applicant has to append a copy of his identity card/letter of approval from a Government Agency (if applicable).
  • registration fee is RM60.00 only.

What forms are to be used to change the main business address and/or to increase the nature of business?


a. The applicant must fill in Form B1 to change the main business address and registration fee is RM20.00 only.

b. The applicant must fill in Form B2 to change the nature of business and registration fee is RM20.00 only.

Can a company registered under the Companies Act 1965 start a business under the Registration of Businesses Act 1956?


Pursuant to section 4 of the Registration of Businesses Act 1956, this Act is not applicable for a business which is exclusively owned and carried on by any company registered under the Companies Act 1965.

Can a partnership change its status to sole proprietorship?


A partnership can change its status to sole proprietorship by registering such a change using Form B4 and registration fee is RM20.00 only.

What fees are applicable for a sole proprietorship and/or partnership?


a. Registration fee for a sole proprietorship using own name as per identity card is RM30.00 only.

b. Registration fee for a sole proprietorship using a trade name is RM60.00 only.

c. Registration fee for a partnership is RM60.00 only

  1. 400 unregistered online businesses taken to task

    GEORGE TOWN: Four hundred online businessmen have been charged in court for not registering their business with the Companies Commission of Malaysia (SSM) in the past two years.

    Deputy Domestic Trade, Cooperative and Consumerism Minister Datuk Rohani Abdul Karim said they were charged under Section 12 (1) (a) of the Registration of Businesses Act 1956 (Amendment 2001) which carries a fine of up to RM50,000 or imprisonment not exceeding two years.

    He said individuals or companies conducting online business were not exempted from registering themselves to prevent fraud.

    The Malaysian Communications and Multimedia Commission (MCMC) is monitoring online business to detect individuals and companies which conduct business illegally, he told reporters after opening a dialog on business ethical practices here Tuesday.

    “Businessmen should be aware of their responsibility and code of ethics and should not victimise consumers,” he said

  2. Action taken against 400 unregistered e-biz operators

    GEORGE TOWN: The Malaysian Communications and Multimedia Commission (MCMC) has taken legal action against 400 local online e-bu-siness operators in the last two years for not registering as business entities.

    Malaysia Business Ethics Institute (MBEI) chairman Dr Zainal Abidin Abdul Majid, said most of the operators were charged under Section 12(1)(a) of the Business Registration Act where they face up to 12 years in jail or a fine of up to RM50,000.

    He said this yesterday after atten-ding a business ethics dialogue which was launched by Deputy Domestic Trade, Cooperative and Consumerism Minister Datuk Rohani Abd Karim here.

    Dr Zainal said the MBEI advised online site operators to upload their code of ethics onto their respective websites.

    “Nowadays, in the globalised age, e-business is growing rapidly but at the same time, site operators must also promote strong business ethics to attract customers,” he added.

    Earlier, Rohani urged more people to use the consumer tribunals to settle disputes about contracts with telecommunication, Internet and television service providers.

    It is learnt that many consumers are unhappy after signing long-term agreements with the service providers as a result of the poor connections.

    Thank you for this guidance but still i need to ask you.

    I wld like to enquire about partnership company i.e. sdn berhad.

    Does the 2 persons has to be Malaysian citizen or one can have a foreigner and a local to form this company.

    How much can one put as paid up capital… i was told a RM 2/- is acceptable.

    For a sdn bhd… do one has to do up the Memorandum of Articles.

    Can one go in and registered a business without having a business practise at the moment.. what i mean is that i want to register a company but no business transaction yet.

    You are required by malaysian law to register your business and before ‘starting’ to apply and also register the license to conduct your said business. Yes, you are required to apply for two procedure before you are actually allowed to conduct your business.

    1.The Business registration certificate
    2.License for conducting said business(where? at the local governing bodies..Majlis Perbandaran petaling jaya)

    That said… you can register it without having already a business transaction in hand.
